These Terms and Services (the "Terms") govern your use of the Vyrade website and any services you engage us to perform. By using this site or entering into an engagement with Vyrade, you agree to these Terms.

If you are agreeing on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation to these Terms.

Vyrade provides AI automation consulting, development, and support services. Depending on the engagement, this may include:

• Automation assessments, workflow audits, and business process analysis.
• Architecture comparison, platform recommendation, and cost analysis.
• Development of workflows, integrations, AI-connected systems, and custom automation infrastructure.
• Design and development of AI agents and tool-connected systems.
• Ongoing optimisation and support where scoped.

The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate proposal or statement of work agreed between you and Vyrade. Where that document conflicts with these Terms, that document takes precedence.

We scope engagements around the actual work rather than fixed packages. Because automation projects vary in systems, volume, business rules, and reliability requirements, estimates provided before a process is understood are indicative only.

Any change to the agreed scope — additional systems, new business rules, or a change in required reliability — may affect the timeline and the fee. We will discuss and agree material changes with you before proceeding.

To deliver an engagement, we generally need your cooperation. You agree to:

• Provide accurate information about the process, systems, and business rules involved.
• Provide timely access to the accounts, APIs, credentials, or environments required for the work.
• Nominate a point of contact who can answer questions and approve decisions.
• Ensure you have the right to grant us access to any third-party system we are asked to connect.

Delays in access or decisions may affect delivery timelines.

Automation systems we design or build may rely on third-party platforms and services, including but not limited to n8n, Make, Zapier, AI model providers, hosting providers, and the APIs of your own business systems.

Vyrade is not responsible for the availability, pricing, terms, or behaviour of those third-party services. Their fees and usage costs are your responsibility unless we have agreed otherwise in writing. Changes made by a third-party provider may require additional work to keep an automation running.

Unless agreed otherwise in writing, on full payment of the applicable fees you own the deliverables we build specifically for you — the workflows, integrations, and custom code produced for your engagement.

Vyrade retains ownership of its own pre-existing materials, tooling, methods, internal frameworks, and the Vyrade platform. Nothing in an engagement transfers ownership of those to you, and we may reuse general knowledge, know-how, and techniques gained during the work.

Each party may receive confidential information from the other during an engagement. Both parties agree to keep that information confidential, to use it only for the purposes of the engagement, and to protect it with reasonable care.

This does not apply to information that is already public, is independently developed, or is required to be disclosed by law.

We perform our services with reasonable skill and care. However, automation systems depend on third-party platforms, APIs, and AI models that we do not control, and AI outputs are probabilistic rather than guaranteed.

To the fullest extent permitted by law, the website and our services are provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or uninterrupted or error-free operation.

To the fullest extent permitted by law, Vyrade will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or relating to the website or our services.

Our total aggregate liability arising out of or relating to an engagement will not exceed the fees you paid to Vyrade for that engagement.

Either party may terminate an engagement in accordance with the terms of the applicable proposal or statement of work. On termination, you remain responsible for fees for work performed up to the termination date.

We may suspend or terminate access to the website at any time if we reasonably believe it is being misused.

We may update these Terms from time to time. The date at the top of this page shows when they were last revised. Continued use of the website or our services after a change takes effect means you accept the revised Terms.
